Terms of Service

These Terms of Service (the "Terms") govern your use of Guidly's coaching scheduling platform at guidly.ca (the "Service"), operated by Guidly Inc. ("Guidly", "we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What Guidly is — and isn't
Guidly is a software-as-a-service tool that helps independent coaches manage their schedules, accept bookings, and communicate with clients. Coaches subscribe to Guidly to use the Service. Clients use Guidly at no charge to book sessions with coaches who have subscribed.
Coaches are independent professionals, not employees or agents of Guidly. We do not endorse, supervise, or guarantee the quality, qualifications, or outcomes of any coaching relationship.
2. Eligibility and accounts
- You must be at least 16 years old to use the Service.
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your password and for all activity on your account.
- You must notify us immediately of any unauthorized access at support@guidly.ca.
- One person, one account. You may not share accounts or impersonate others.
3. Coach subscriptions
How subscriptions work
Coaches subscribe to Guidly via Stripe. The current plans, pricing, and billing intervals are displayed at the time of signup and may be updated from time to time. Subscription fees are billed in advance and renew automatically at the end of each billing period (monthly or annually) unless cancelled.
Free trial
New coach accounts may include a free trial period as displayed at signup. We may require a payment method on file before starting the trial. If you cancel before the trial ends, you will not be charged.
Cancellation and refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access until that date. We do not provide pro-rated refunds for partial periods. We may, at our discretion, issue refunds in exceptional circumstances.
Price changes
We may change subscription prices. Material price changes will be communicated by email at least 30 days in advance. If you do not agree, you may cancel before the new price takes effect.
Failed payments
If a subscription payment fails, we will retry it according to Stripe's default retry schedule. If the payment cannot be collected, we may suspend or terminate the subscription. Active bookings during the suspension period are not affected.
4. Coach responsibilities
If you use Guidly as a coach, you represent and agree that:
- You hold any licenses, certifications, or insurance required to provide your services in your jurisdiction.
- You will deliver services as described in your profile and as agreed with each client.
- You will not provide medical, legal, financial, or psychotherapy services unless you are independently licensed to do so. If your offering is in a regulated profession, you are solely responsible for compliance.
- You will arrange payment for your services directly with each client. Guidly does not collect, hold, or transfer those payments.
- You will issue receipts, invoices, and tax documents to your clients as required by law.
- You are solely responsible for collecting and remitting all applicable taxes (income tax, HST/GST, etc.) on your earnings.
- You will honour confirmed bookings or provide reasonable notice of cancellation.
- You will not use Guidly to engage in fraudulent, illegal, harassing, or harmful behaviour.
5. Client responsibilities
If you use Guidly as a client, you agree that:
- You will pay your coach for booked sessions according to the terms you arrange directly with them. Guidly is not involved in those payments.
- You will attend sessions you book or cancel according to your coach's stated cancellation policy.
- You will treat coaches with respect and not engage in harassing, threatening, or harmful behaviour.
- You understand that coaching is not a substitute for medical, legal, or psychotherapy services.
- Disputes about coaching services or payment for those services are between you and your coach. Guidly is not a party to those disputes and does not arbitrate, mediate, or refund payments made to coaches.
6. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Attempt to access another user's account without permission.
- Reverse engineer, decompile, or attempt to extract source code from the Service.
- Use automated tools (scrapers, bots) to access the Service without our written permission.
- Upload viruses, malware, or any code intended to damage or disrupt the Service.
- Send spam, phishing messages, or unsolicited communications through Guidly.
- Post content that is defamatory, obscene, hateful, or that infringes others' rights.
- Use Guidly's name, branding, or content in ways that suggest endorsement or affiliation we have not granted.
7. Content and intellectual property
Your content
You retain ownership of content you post on Guidly (profile information, messages, photos, etc.). By posting, you grant Guidly a non-exclusive, worldwide, royalty-free license to host, display, and process that content as needed to operate the Service.
Our content
Guidly's name, logo, designs, and software are owned by Guidly Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy or reuse them without written permission.
8. Privacy
Our handling of your personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
9. Third-party integrations
The Service integrates with third-party platforms including Google Calendar, Zoom, Stripe, SendGrid, and Twilio. Use of those services is governed by their own terms. We are not responsible for the availability or behaviour of third-party services.
10. Account termination
You may close your account at any time through your settings or by contacting us. For coaches, closing your account also cancels your subscription as described in section 3.
We may suspend or terminate your account if you breach these Terms, engage in fraudulent or harmful behaviour, or as required by law. We will provide notice when reasonably possible. Termination does not relieve you of obligations incurred before termination.
11. Disclaimers
Guidly does not warrant the qualifications, conduct, or outcomes of coaches who use the platform. Coaching results vary and depend on factors outside Guidly's control. Any agreement, transaction, or dispute between a coach and a client is solely between those parties.
12. Limitation of liability
To the maximum extent permitted by law:
- Guidly is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data.
- Guidly is not liable for any loss arising from a coaching relationship, including any payment, refund, or service-quality dispute between a coach and a client.
- Our total liability to you for any claim arising out of or relating to the Service is limited to the greater of (a) the subscription fees you paid to Guidly in the 12 months before the claim, or (b) CAD $100.
- These limitations apply even if we have been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify and hold harmless Guidly, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:
- Your use of the Service.
- Your breach of these Terms.
- Your violation of any law or third-party right.
- For coaches: any dispute between you and a client regarding the coaching services you provide or payment for those services.
14. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts located in Ottawa, Ontario, and you consent to the personal jurisdiction of those courts.
Before filing a formal dispute, you agree to first contact us at support@guidly.ca and attempt to resolve the matter informally for at least 30 days.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before taking effect. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree, you must stop using the Service.
16. Miscellaneous
- Entire agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Guidly.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- No waiver: Our failure to enforce a right is not a waiver of that right.
- Assignment: You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party is liable for delays or failures caused by circumstances beyond reasonable control.
